  • About the Company
  • Our client is a well-established and reputable player in the structuring and setup of alternative investment funds, including SOPARFIs, SPVs, and PE / RE vehicles. Known for delivering high-quality, tailor-made services, the company now aims to internalise its corporate governance functions to gain greater operational autonomy. Joining this human-sized structure means integrating a close-knit, collaborative team that values versatility, support, and excellence. You will be directly involved in strengthening internal processes and shaping the next stage of the organisation's development in fund management.

    • Your Responsibilities
    • Manage a portfolio of alternative investment vehicles
    • You will handle the full lifecycle of various entities (Sàrl, SA, SOPARFI, SPV), streamlining workflows and ensuring smooth operations. This hands-on role will sharpen your legal expertise and position you as a key contributor to the fund setup process.

    • Organise and coordinate board and shareholder meetings
    • You'll prepare and oversee meetings of governing bodies, ensuring regulatory compliance while facilitating decision-making. This will allow you to become a trusted contact for internal and external stakeholders.

    • Draft legal documentation (AGMs, minutes, resolutions, certificates)
    • Through accurate and structured documentation, you'll play a vital role in upholding governance standards and boosting internal efficiency in corporate reporting.

    • Monitor statutory changes and capital transactions
    • You will oversee complex corporate events-such as director changes, share transfers, capital increases / reductions, and liquidations-building strong exposure to high-value legal and financial operations.

    • Maintain legal registers and coordinate filings
    • Ensuring timely and accurate filings with the RCS and RBE will enhance your regulatory knowledge and strengthen your operational reliability.

    • Liaise with Compliance and KYC teams
    • Collaborating closely with compliance officers, you'll help integrate AML / KYC best practices into the fund governance framework, deepening your interdisciplinary expertise and broadening your strategic impact.

    • Your Profile
    • Between 3 to 5 years of experience in corporate governance, ideally within the alternative fund industry (PE / RE, SOPARFI, SPV).
    • Solid knowledge of Luxembourg company law and experience with RCS / RBE filings.
    • Strong organisational and drafting skills with attention to detail.
    • A proactive mindset, and ability to work in a team.
    • Excellent interpersonal skills and comfort interacting with investors, legal advisors, and regulators.
    • Motivation to support internal growth and digitalisation within a fast-evolving structure.
    • What the Company Offers
    • A competitive salary package, reviewed annually to reflect your growth and contributions.
    • Performance-based bonuses may be granted several times a year, in recognition of your involvement and results.
    • A positive and people-focused work environment, where collaboration, mutual support and initiative are truly valued.
    • Enjoyable team moments, shared lunches and a pleasant office atmosphere that fosters both focus and informal exchange.
    • Access to internal training and the opportunity to grow within a structure that values autonomy and responsibility.
    • A workplace culture that rewards commitment and celebrates individual and collective successes.
