Company Description
Our client is a well-established and fast-growing financial services provider based in Luxembourg, with a strong focus on investment fund structures, private equity, real estate, and corporate services. To support the expansion of its legal and corporate governance team, the firm is looking for a motivated Corporate Officer to join its Luxembourg office.
Responsibilities
Manage a portfolio of legal entities (Soparfis, SPVs, funds, etc.) from incorporation to liquidation.
Draft and review board resolutions, minutes, shareholder agreements, and corporate documentation.
Coordinate with notaries, lawyers, banks, and regulatory authorities.
Organise board and shareholder meetings and ensure proper legal follow-up.
Monitor compliance with legal obligations and internal procedures.
Maintain statutory registers and ensure timely filings with the RCS and the CSSF when applicable.
Assist in transactions such as restructurings, capital increases / reductions, and financing matters.
Profile
Degree in Law, Business Administration, or a related field.
Minimum of 2 to 5 years of experience as a Corporate Officer or Legal Officer in a fiduciary, law firm, or fund administrator in Luxembourg.
Sound understanding of Luxembourg company law and regulatory framework.
Fluent in English and French; German or any other language is considered an asset.
Proactive, organised, and able to manage several entities and deadlines in parallel.
Strong interpersonal skills and ability to liaise professionally with clients and third parties.
