Brief Unit description : The Legal and Corporate Affairs department provides legal support on a wide range of subjects (from the structuring of investment scheme, to the definition of the contractual framework) interacting with the relevant internal functions on an ongoing basis. The team is also in constant contact with the corresponding functions of the other entities belonging to the Generali Group. The team is currently composed of four legal advisers, with a different level of expertise in investment funds area (both UCITS and AIFs) and in corporate topics and operates under the responsibility of the Head of Legal and Corporate Affairs and of the General Counsel. Main Tasks : support the structuring, formation, and documentation of investment funds, including both UCITS and AIFs; draft, review and negotiate fund documents, including articles of incorporation, management regulations, prospectuses, private placement memoranda (PPMs), limited partnership agreements (LPAs), subscription agreements, and side letters; negotiate / draft various agreements, with Company's and funds' delegates (depositary agreement, central administration agreement, investment management agreement, distribution agreement, limited partnership agreement, etc.), investors, potential counterparties, etc.; provide guidance and support on regulatory matters impacting investment funds; oversee the corporate matters of both the Company and the managed funds; stay abreast of industry developments, legislative changes, and best practices in investment fund law and regulatory compliance; collaborate effectively with internal and external stakeholders, including external lawyers, service providers, distributors, investment managers, etc.; engage in local and global group projects. Requirements (degree, years and type of experience, technical skills, languages) : Must have : master degree in Law; minimum of 7 years of experience with a focus on investment funds and related areas of law; in-depth knowledge of the Luxemburgish and European legal and regulatory environment applicable to Luxembourgish management companies / AIFMs; knowledge of corporate governance matters, including board meetings and stakeholder relations; proven track record in structuring and launching investment funds across various asset classes and investment strategies; deep understanding of fund formation, regulatory compliance, and governance matters affecting investment funds; strong drafting, negotiation, and analytical skills, with meticulous attention to details; excellent communication and interpersonal skills, with the ability to effectively interact with clients and internal stakeholders; demonstrated ability to thrive in a fast-paced, dynamic environment and manage multiple priorities effectively; commitment to upholding the highest standards of ethics, professionalism, and client service.
