Goal
The main goal of this in-house counsel position in the legal department is to provide high-quality legal and corporate secretary services to the company.
Responsibilities
- Advising the various departments on Luxembourg and cross-border legal issues
- Drafting and negotiating contracts and other legal documents, including (re)insurance, distribution, information technology, outsourcing and service agreements
- Monitoring legal and regulatory changes and assisting in their implementation, in cooperation with the Compliance Officer
- Drafting legal templates and processes, maintaining legal databases
- Management of litigation cases in various jurisdictions, in cooperation with outside counsel
- Efficient management of outside counsel
- Participation in cross-functional projects
- Drafting and implementing governance policies and terms of reference for the board and committees
- Managing trademarks worldwide
- Interacting with senior management, supervisory authorities and industry associations
- Assist in coordinating board, committee and shareholder meetings, setting the schedule, convening participants, drafting agendas, preparing for meetings, drafting resolutions and minutes, tracking and following up on action items
- Providing other corporate secretary services, such as filing documents with the Luxembourg Trade and Companies Register, having documents notarized

University degree in law (Master's or equivalent level), bar exam is an assetSimilar experience in international insuranceExcellent knowledge of insurance and corporate lawVery good contract drafting skillsExcellent analytical, negotiation and communication skillsAbility to present results in a comprehensible wayHighly motivated and enjoy working in an intercultural environmentStrong team player, dynamic and resilient with the ability to prioritize and work independentlyInterest in legal technologyFluency in English and French.
