VP GOVERNANCE - INVESTMENT COMPANY - NT277 Greenfield is delighted to be working with our client, a fast-growing investment company, in their search for a VP Governance. This is a key position within the Legal, Governance & Compliance team, reporting directly to the Executive Director Legal, Governance & Compliance. The role offers the opportunity to contribute to maintaining the highest standards of corporate governance while operating in a multicultural, international environment. This opportunity will allow you to join a dynamic organisation, work closely with senior stakeholders, and be involved in a wide range of governance matters for the firm's entities. The Role : Ensure the creation and maintenance of company records and statutory registers for the firm and its group entities. Monitor statutory returns and online filings with the relevant authorities, ensuring timely updates for any changes or periodic filing requirements. Support improvements in corporate governance processes. Coordinate Board meetings, including convening, producing Board materials via Board Intelligence, preparing governance reports, reviewing meeting documentation, and drafting minutes. Manage and maintain documents relating to the company lifecycle (AGMs, powers of attorney, authorised signatures, RCS filings, circular resolutions, etc.). Follow up on pending items and maintain action logs. Assist in establishing and updating policies and procedures necessary for Board operations. Contribute to annual updates of terms of reference, organisation charts, and other governance documents. Support the investment management team with governance aspects of investment / divestment transactions or restructurings, including coordinating Board / shareholder meetings and execution of relevant documentation. Manage relationships with the Board of Directors, including logistics, contracts, and periodic collective assessments. Respond to internal and external governance queries, including those from auditors. Participate in ad-hoc governance projects as required. Your Profile : + / - 10 years' similar experience in the fund industry, preferably with significant exposure to governance matters. Master's degree in Legal or Business Administration, or equivalent; or a Bachelor's degree with at least 15 years' relevant experience. Proven ability to work in a complex, agile, multicultural, and international environment. Strong interpersonal skills with the ability to develop and maintain excellent working relationships.
