Senior Legal Counsel - Asset Manager

A leading global investment management firm is seeking a Senior Legal Counsel to join its Luxembourg-based legal team. The role focuses primarily on supporting the firm's alternative investment platform, with occasional involvement in private markets asset classes across Europe. The successful candidate will provide comprehensive legal support throughout the fund lifecycle and collaborate closely with senior legal and business stakeholders across jurisdictions. Key Responsibilities Provide legal advice on all aspects of fund structuring, setup, and operation for AIF strategies, including reviewing and drafting fund documentation such as investment advisory agreements, administration and depositary agreements, side letters, offering memoranda, and subscription forms. Work with external counsel on fund financing arrangements, including credit and loan facility agreements. Draft, review, and negotiate distribution and advisory agreements, ensuring compliance with European marketing and regulatory requirements. Act as a liaison between the legal function and other internal departments to ensure consistent implementation of policies, procedures, and legal initiatives. Support the management of Luxembourg entities, including board coordination and governance oversight. Oversee relationships with external service providers such as law firms and company secretaries. Lead or contribute to internal process improvement initiatives and other ad-hoc legal projects. Experience & Qualifications 4–5+ years of post-qualification experience in a leading law firm or within the legal department of an asset management company, ideally with exposure to private markets or alternative investment funds. Strong expertise in Luxembourg fund structures, particularly Alternative Investment Funds (AIFs) Proven track record in drafting and negotiating a broad range of fund-related agreements. Prior in-house experience within a fund management or financial services environment is an asset.
