Job description

As part of its ongoing development, a banking institution is looking for a Senior Legal Counsel   F / M to join its Legal Department, with a strong focus on M&A and Private Equity .

Your Responsibilities :

  • Provide strategic legal advice on complex mergers & acquisitions , joint ventures , and asset disposals , ensuring optimal deal structuring and risk mitigation.
  • Lead the structuring, negotiation, and execution of high-value private equity transactions and acquisition financing deals , partnering closely with investment teams to drive successful outcomes.
  • Draft, review, and negotiate a broad range of sophisticated legal documents, including SPAs, SHAs, shareholders’ agreements, NDAs, financing agreements , and other transactional contracts.
  • Support investment and financing teams throughout all stages of the transaction lifecycle, from due diligence to closing and post-deal integration.
  • Identify, assess, and manage legal and regulatory risks related to transactions, ensuring compliance with applicable banking, financial, and corporate laws.
  • Coordinate and supervise external counsel, auditors, and other advisors , ensuring alignment of strategy and cost-efficient management of legal resources.
  • Monitor regulatory and legislative developments impacting M&A and private equity activities , proactively advising senior management on potential implications and strategic opportunities.

Your Profile :

  • Master’s degree (LL.M. or equivalent) in Business Law, Banking & Finance Law, or Corporate Law.
  • At least 8  years of experience in a top-tier law firm and / or in-house legal department, ideally within the banking, financial services, or private equity sectors.
  • Proven expertise in M&A , private equity , and complex contract negotiation .
  • Strong ability to handle high-value, sophisticated transactions.
  • Excellent communication and stakeholder management skills.
  • Fluency in French &  English (written and spoken) is required; other languages are a plus.
