Job description
Your day to day
Manage corporate governance matters and board administration activities
Prepare and distribute board meeting materials, agendas and minutes
Ensure compliance with company law and regulatory filing requirements
Maintain corporate records, registers and statutory documentation
Coordinate annual general meetings and extraordinary shareholder meetings
Liaise with regulatory authorities and handle official correspondence
Support legal and compliance matters including contract management
Assist with corporate restructuring projects and entity formations
Monitor changes in corporate governance regulations and best practices
Your profile
Law degree or professional qualification in corporate secretarial practice
3-5 years experience as corporate secretary in financial services sector
Thorough knowledge of Luxembourg company law and corporate governance
Experience with board portal software and document management systems
Strong organizational and administrative capabilities
Excellent interpersonal and stakeholder management skills
Multilingual abilities (English, French, German advantageous)
Professional membership with relevant corporate secretarial institute
Understanding of insurance or investment fund regulations beneficial
