COSEC & DOMICILIATION MANAGER - FUND AMINISTRATOR - NT352 Our client is a regulated fund administration firm in Luxembourg seeking a senior leader to head its Company Secretariat and Domiciliation function. The role spans end-to-end governance for a varied portfolio of Luxembourg-domiciled structures, ensuring full compliance with local law, CSSF expectations, and best-practice corporate standards, while mentoring a small team and enhancing processes and tools. The Role : Lead the day-to-day operations of the CoSec and domiciliation team; set priorities, allocate work, and supervise two professionals. Own the lifecycle of statutory meetings (board, shareholder, committees) : schedule and convene, prepare packs, attend, capture decisions, and manage execution of documents. Maintain and continuously improve the firm's domiciliary policies, procedures, and controls, aligning them with regulatory developments Liaise with internal stakeholders such as Tax and Legal teams Safeguard compliance with Luxembourg company law, CSSF / Fund governance requirements, and filing obligations (registers, returns, statutory submissions). Draft, review, and approve corporate documentation (resolutions, agreements, minutes) and ensure timely execution and archiving. Act as the escalation point for complex technical, regulatory, and client issues tied to fund governance and domiciliation. Advise boards and clients on legal, regulatory, and governance best practices; represent the firm with auditors, legal advisors, regulators, and industry bodies as needed. Build strong client relationships and contribute to business reputation through visible participation at industry events and relevant meetings. Monitor upcoming legislative and regulatory change; translate requirements into practical process updates and staff guidance. Lead initiatives to digitise workflows and adopt governance technology; champion automation to raise quality and speed.
