What You Will Do

We are looking for a motivated, detail-oriented professional at the early stage of their career to join our Fund Legal and Governance Team. You will showcase your success through collaboration, ownership and a willingness to learn. Your curiosity about emerging trends, practices and technologies will contribute to stimulating discussions around optimisation and change to help keep our competitive edge. The Fund Legal and Governance team sits within the Fund Operations team and currently consists of fifteen team members in addition to this role. As a new member, you will work closely with a Manager and with more senior colleagues who will guide and mentor you, on a series of alternative investment funds.

WHAT YOU CAN EXPECT

• Assisting with the day-to-day legal and corporate administration of dynamic and demanding alternative investment funds.
• Drafting and reviewing various legal documents in a company’s life cycle: incorporation deeds, board and shareholder resolutions, power of attorneys, share registers, internal funding documents (115 contribution, shareholder loans), UBO declarations, engagement letters, liquidation documentation, etc.
• Supporting the organisation of quarterly and ad-hoc board meetings for Luxembourg AIFs and SPVs: convening notices, agendas, meeting materials and first drafts of the respective meeting minutes.
• Coordinating the execution of various legal documents by authorised signatories in electronic and wet-ink version, and ensuring proper filing and archiving.
• Collaborating efficiently and effectively with various internal teams as well as third party stakeholders.
• Supporting transactional activity (refinancing, disposals and acquisitions).
• Supporting fund investors’ related activity (closings, capital calls, distributions, transfers).
• Preparing and following up on AML/KYC requests.
• Actioning timely registrations at the Chamber of Commerce and other obligatory registrations and filings.
• Maintaining internal databases, corporate calendars, and document trackers.
• Contributing to internal projects towards standardisation, digitalisation and rationalisation of existing processes.

WHAT YOU WILL BRING

• Strong academic background: relevant degree in law, business administration or similar.

• Relevant work experience, including internships, in comparable organisations

• Interest in working in an international and multicultural environment and having a global mindset.

• First understanding of European financial regulation, investments, financial markets and AIFMD, with a clear willingness to develop it further.

• Willingness to work on cross border structures and to collaborate with colleagues from offices in Germany, UK, France, Italy, U.S. and Asia.

• Good interpersonal skills, team player, and capability to interface professionally with various internal and external stakeholders.

• Strong planning and organisation skills, attention to detail, with excellent personal time management and communication skills.

• Good Microsoft Office skills, and competence with other applications is an asset.

• Curiosity about Artificial Intelligence and emerging technologies, combined with a willingness to identify practical opportunities to improve efficiency, workflows and productivity, is considered a strong asset.

• Integrity and reliability, with a commitment to Diversity & Inclusion.

• Fluent in English with clear and strong verbal and written communication skills required; French, German or Italian is an advantage.
