Your role - Are you ready for a challenge? The Group Company Secretariat is responsible for providing "best in class" governance support to Lombard International Assurance S.A.(part of Utmost Group) and the Group on all aspects of board support, provided regulatory coordination and filings (as needed) and support the business on all governance-related queries. Your responsibilities will be as follows : Providing full service support to the board and its committees including preparing agendas for meetings, coordinating and uploading board packs, preparing the minutes of the meetings, maintaining the action log from those meetings and updating the relevant terms of reference (TORs) as required, from time to time; Maintaining and updating the LIA signature list including preparing board resolutions as required twice a year; Preparing cover notes for the following board papers : (i) Signature list renewals; (ii) TORs; and (ii) other corporate housekeeping topics; Supporting preparation of the quarterly MD reports; Participating in working group for annual SFCR report preparations (to cover governance considerations); Preparing board and committee resolutions on various topics as required, from time to time; Ensuring the commercial register is maintained through ensuring Utmost's information is kept up to date, filing the annual accounts, annual mandates for directors and the external auditor and any changes to the Board; Engaging on a daily basis with the business on various questions relating to information about Utmost as part of external parties' KYC queries; Engaging with external law firms who are providing support with corporate filings for the branches, signatures lists and annual accounts; Maintenance of the Regulatory database and Regulatory log; and corporate record-keeping. Your profile - Have you got what it takes to become our Senior Company Secretary? Strong academic background (ideally a law degree), and sufficient experience (minimum 8-10 years) to demonstrate an excellent working knowledge of the activities described above (preferably in the banking or insurance sector); Extensive knowledge of financial services regulatory norms and practices in an EU and international context; Ability to take decisions and define innovative solutions in a complex environment; Business-minded, with "can-do" attitude, with excellent corporate communication skills and ability to influence at executive level; Demonstrates personal accountability - autonomous with a hand-on approach; Strong interpersonal skills; Detail-oriented and able to successfully juggle multiple priorities; Strong communication, presentation and management skills; Displays personal and corporate integrity with a strong work ethic; and Fluent in English. Knowledge of any additional European language will be an asset.
