Senior Officer – Corporate & Funds Governance

Your Day-to-Day

• Maintain corporate records and legal documentation (e.g. shareholder registers, RCS filings) in full compliance with Luxembourg regulations.
• Review investment documentation (e.g. term sheets, SPAs, shareholder agreements) to ensure alignment with governance and regulatory requirements.
• Act as primary point of contact with external stakeholders such as administrators, auditors, legal counsel, and tax advisors.
• Coordinate the investment approval process : prepare investment memos, liaise with operators, and organize Investment Committee meetings.
• Collect and validate transaction data required for regulatory filings (Annex IV, RC reports, etc.).
• Draft and review regulatory reports and submissions to the CSSF and other authorities.
• Support the onboarding of new funds in collaboration with structuring, legal, and tax teams.
• Participate actively in internal committees (Risk, Valuation, Investment, etc.).
