As a Corporate Officer in the Fund Team, you will be part of a collaborative group of professionals supporting fund structures, general partners, and management entities throughout their full life cycle — from onboarding to restructuring or liquidation. You will work directly with lawyers, accountants, compliance officers, and clients across jurisdictions.
Your tasks will include :
- Drafting, reviewing, and negotiating a wide range of corporate and legal agreements (e.g., articles of association, limited partnership agreements, service agreements, shareholder agreements).
- Preparing all corporate documentation for board and shareholder meetings , and handling related filings with Luxembourg authorities and registers.
- Assisting in the structuring, incorporation, and day-to-day legal management of Luxembourg investment vehicles, including SIFs, SICARs, RAIFs, SCSps , and related GPs.
- Advising on and ensuring compliance with corporate governance obligations applicable to PSFs and AIFMs .
- Supporting the legal and regulatory responsibilities of fund entities and AIFMs under AIFMD, SFDR, AML / CFT , and other relevant frameworks.
- Providing legal advice and practical guidance to senior management and cross-functional teams.
- Coordinating long-term legal projects and participating in the drafting of internal templates and strategic reviews of contractual frameworks.
- Monitoring and interpreting regulatory developments , identifying their implications for our services and clients.
- Assisting with cash collection processes , including invoice follow-up and coordination with the finance team.
- Liaising with external stakeholders , such as law firms, notaries, banks, auditors, and the CSSF.
- Collaborating on cross-departmental and client-specific files , ensuring timely and compliant delivery.
- Guiding and mentoring junior staff, contributing to a collaborative and high-performing team culture.
Your Profile :
A university degree in Law , preferably with a specialization in corporate, financial, or business law .3 to 4 years of experience in a legal or corporate role, ideally within a law firm, AIFM, PSF, or fiduciary company in Luxembourg.Strong knowledge of Luxembourg company law (1915 Law) and fund regulatory frameworks such as AIFMD and the RAIF Law .Full professional proficiency in English (written and spoken); fluency in French or Italian is considered a strong asset.Solid understanding of corporate governance requirements , KYC / AML procedures , and regulatory compliance obligations.Excellent legal drafting and negotiation skills, with precision and attention to detail.Organized, solution-oriented, and able to manage multiple priorities in a client-facing environment.Strong interpersonal skills and a team-oriented, collaborative mindset .Curious, adaptable, and eager to learn — with the ability to integrate into a multidisciplinary team.genuine interest in the investment fund industry , particularly in private equity and alternative structures.Your Mindset & Motivation
